What the auditor pointed to

The auditor, Walker Chandiok & Co LLP, did a limited review and drew attention to one note, while saying “Our conclusion is not modified in respect of this matter.” The note is about Affle's stake in Talent Unlimited Online Services Private Limited (“Bobble”). According to the company's note:

  • On June 12, 2026 the Delhi bench of the National Company Law Tribunal admitted an insolvency petition against Bobble, for default in repaying debt.
  • Affle holds a 24.07% stake on a fully diluted basis, carried at INR 1,358.28 million and classified as held for sale.
  • Affle appealed to the Supreme Court of India, which stayed the insolvency proceedings at a hearing on October 16, 2026. Affle also submitted a demand draft of INR 57.66 million with the court to pay the lender. The next hearing is scheduled on November 25, 2026.
  • The company says any impact on the value of the investment will be worked out once the appeal is decided.

Two other notes: on June 11, 2026 a subsidiary signed an agreement to buy the AdColony business from Digital Turbine, Inc. for USD 4.70 million, with its conditions not yet complete; and after the quarter ended, Affle allotted 2,981,479 equity shares to Affle Holdings Pte. Ltd. on conversion of warrants (on October 19 and October 21, 2026).

A separate announcement: Perion

On 1 November 2026, two days after the results, Affle filed a press release with NSE titled “Affle to acquire Perion, to scale its CPCU business across Developed markets”. It is a different filing from the results. What it says:

  • Affle 3iL Ltd., an Israel-based step-down subsidiary of Affle, signed a definitive agreement to buy all outstanding shares of Perion Network Limited (listed on NASDAQ and TASE as PERI).
  • Price: US$ 11.70 per share, all cash, for an implied equity value of about US$ 420 million.
  • The deal still needs closing conditions to be met, including regulatory approvals and approval by Perion shareholders. The company expects it to close in early 2027.
  • Affle plans to pay through committed financing from banks and available cash.

None of this is in the Q2 numbers above. The quarter ended on 30 September 2026, and the deal was announced on 1 November 2026 and has not closed.

What these words mean

Consolidated and standalone: consolidated figures add up Affle and its subsidiaries as one group. Standalone figures cover Affle 3i Limited alone. Most of Affle's revenue sits in the group figures, so the two differ a lot.

Rs million: ten lakh rupees. Ten million make one crore, so Rs 7,835.93 million is about Rs 784 crore. The filing reports in million, so this page does too.

Drawing attention to a note: the auditor points readers to something important in the notes. It is not a qualification: the auditor's conclusion on the numbers stays the same.

Held for sale: an investment the company has decided to sell, shown separately in the accounts.
